By accessing or using binarygrace.com, you agree to these Terms. If you do not agree with these Terms, please do not use the website.
BinaryGrace provides technology and digital services for businesses, organizations, agencies, and other clients.
Our services may include:
The exact services provided to a client will depend on the applicable proposal, quotation, statement of work, agreement, or other written arrangement.
You agree to use this website only for lawful purposes.
You must not:
We reserve the right to restrict or terminate access to the website where reasonably necessary to protect our website, systems, users, or business.
Information published on our website is provided for general informational purposes.
Specific project requirements, deliverables, timelines, fees, revisions, intellectual property rights, maintenance arrangements, confidentiality obligations, and other project terms will be governed by the applicable written agreement between BinaryGrace and the client.
If there is a conflict between these website Terms and a signed client agreement, the specific client agreement will generally govern the relevant project relationship.
Any project estimate, quotation, proposal, timeline, or pricing information provided by BinaryGrace may be subject to change until accepted and confirmed in writing.
A quotation does not automatically constitute a binding agreement unless expressly stated otherwise.
Project commencement may require written approval, payment of an agreed deposit, or completion of other agreed onboarding requirements.
Clients are responsible for providing accurate information, content, materials, credentials, approvals, access, and feedback reasonably required for a project.
Delays caused by missing information, delayed approvals, unavailable access, third-party systems, or other circumstances outside BinaryGrace’s reasonable control may affect project timelines.
Clients are also responsible for ensuring that content, images, trademarks, data, software, and other materials supplied to BinaryGrace can legally be used for the relevant project.
Some projects may depend on third-party products or services, including:
Third-party services are governed by their respective terms, licenses, and policies.
BinaryGrace is not responsible for changes, outages, restrictions, pricing changes, security incidents, or discontinuation of third-party services outside our reasonable control.
Unless otherwise agreed in writing, BinaryGrace retains ownership of its pre-existing materials, reusable code, libraries, frameworks, development tools, processes, methodologies, templates, and know-how.
Ownership or licensing of project-specific deliverables will be determined by the applicable client agreement.
Clients must not use, reproduce, resell, distribute, or modify BinaryGrace’s proprietary materials beyond the rights granted under the applicable agreement.
Third-party software, plugins, themes, fonts, APIs, images, and other licensed materials remain subject to their respective licenses.
The client retains responsibility for content and materials supplied to BinaryGrace.
The client represents that it has the necessary rights, permissions, and licenses to provide such materials and authorize their use in the project.
BinaryGrace is not responsible for claims arising from unauthorized, unlawful, misleading, or infringing materials supplied by a client.
BinaryGrace understands that projects may involve confidential business, technical, financial, customer, or other information.
Confidential information will be handled according to the applicable client agreement or confidentiality obligations between the parties.
Where a separate Non-Disclosure Agreement (“NDA”) is executed, the NDA will govern confidentiality matters covered by that agreement.
BinaryGrace takes reasonable steps to protect personal information handled through its website and services.
Our handling of personal information is described in our Privacy Policy.
Where a project involves personal data regulated by privacy laws such as the GDPR, applicable Indian data protection requirements, CCPA/CPRA, HIPAA, or other privacy and security requirements, the parties may need additional contractual, technical, organizational, or security arrangements depending on the project.
Clients should inform BinaryGrace before providing sensitive or regulated data so that appropriate requirements can be discussed and documented.
BinaryGrace does not consider all of its services to be HIPAA-regulated or HIPAA compliant by default.
If a client requires BinaryGrace to create, receive, maintain, or transmit Protected Health Information (“PHI”) on behalf of a HIPAA covered entity, the parties will determine whether BinaryGrace acts as a Business Associate and whether a Business Associate Agreement or other documentation is required.
Where applicable, appropriate technical, organizational, contractual, and security measures will be agreed based on the specific project.
Clients should not send PHI through ordinary website contact forms, email, or other communication channels unless an appropriate process has been specifically established.
HIPAA requirements can apply to business associates that handle PHI on behalf of covered entities, and HHS states that required business-associate arrangements must contain appropriate safeguards and permitted-use provisions.
We make reasonable efforts to keep information on our website accurate and current.
However, we do not guarantee that all website content will always be complete, accurate, current, or free from errors.
Website content may be changed, updated, or removed without prior notice.
We aim to keep our website available and secure, but we do not guarantee uninterrupted availability.
The website may occasionally be unavailable because of maintenance, upgrades, hosting issues, technical problems, security incidents, or circumstances beyond our reasonable control.
Unless expressly stated in a written agreement, the BinaryGrace website and its general content are provided on an “as is” and “as available” basis.
To the extent permitted by applicable law, BinaryGrace does not make warranties regarding uninterrupted availability, error-free operation, suitability for a particular purpose, or the accuracy or completeness of general website information.
To the maximum extent permitted by applicable law, BinaryGrace will not be liable for indirect, incidental, consequential, special, or punitive losses arising from the use of this website or reliance on general information provided through the website.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
For client projects, liability and other commercial terms may be governed by the applicable written agreement between BinaryGrace and the client.
To the extent permitted by applicable law, you agree to indemnify and hold BinaryGrace harmless from claims, losses, liabilities, damages, and expenses arising from your unlawful use of the website, violation of these Terms, or infringement of another party’s rights through materials or information you provide.

These links are provided for convenience and do not necessarily represent an endorsement of the third-party website, service, product, or organization.
BinaryGrace is not responsible for third-party websites or their content, availability, security, or policies.
We may update these Terms from time to time.
Changes will become effective when the updated Terms are published on this page unless otherwise stated.
Your continued use of the website after an update means that you acknowledge the updated Terms.
These Terms shall be governed by and interpreted in accordance with the laws applicable to BinaryGrace, subject to any mandatory rights or protections available to users or clients under applicable law.
For client projects, the governing law and dispute-resolution process may instead be specified in the applicable written agreement.
